What is AG/SA?

The AG (Aktiengesellschaft) in German, or SA (Societe Anonyme) in French, is the Swiss equivalent of a public limited company. It is a common structure for businesses planning to scale, raise external capital, or operate with multiple shareholders.

  • Minimum nominal share capital: CHF 100,000
  • At least CHF 50,000 typically paid in at incorporation
  • Shareholders have limited liability
  • Shares are generally easier to transfer than GmbH quotas
  • Well suited for investor participation and group structures

Incorporation Process

  1. Draft and notarize the articles of association
  2. Open a capital contribution account and deposit required capital
  3. Sign the public deed of incorporation
  4. Register the company in the Swiss Commercial Register

Tax and Compliance Implications

An AG is generally subject to corporate income tax and capital tax at federal, cantonal, and municipal levels. Governance setup, signatory powers, and board composition should be aligned early to avoid banking and compliance friction.
